Terms of Service

These terms govern your use of GM Agency ("we", "us"), operated by GM Agency, registered in Tbilisi, Georgia. By creating an account or starting a project, you ("you", "the customer") accept these terms in full.

01 · What we do

We deliver fixed-scope, fixed-price, fixed-ETA web applications using AI-assisted software engineering. You describe what you want through our structured scoping flow, we return a written plan and price, you approve, we build, and we transfer the finished product (source repository, hosting, database) into accounts you own. We do not operate or host your application after delivery.

02 · Project lifecycle

  1. Scoping. A structured Q&A produces a written specification.
  2. Plan approval. You approve a fixed price range, ETA, deposit amount, and the locked specification.
  3. Deposit. You pay a non-refundable deposit (30–40% of the upper price band, depending on project type).
  4. Build. We execute the build without your input. The specification is locked.
  5. Preview. You review a deployed preview against the approved specification.
  6. Acceptance & balance. You accept the build, pay the balance, and we transfer ownership.

03 · Payment terms

Payments are handled by Stripe. All amounts are in US dollars. You authorise Stripe to charge the payment method you provide for the deposit and, on acceptance, the balance.

04 · Warranty & rebuilds

Every project includes a defect-fix warranty against the approved specification. You may submit change requests through the platform after preview is delivered. Each request is classified by us as one of:

Defect
A discrepancy from the approved specification. Fixed at no charge. Capped at 3 review cycles per project.
Change
A new feature or modified scope. Quoted as a paid change order. You may decline.
Rebuild
A new direction on top of the locked specification. Priced at 80% of the original at-cost basis. Capped at 2 rebuilds per project; further rebuilds become a new full-price project.

05 · Intellectual property & ownership

Once the balance has cleared, you own the source code, the deployed application, the database contents, the domain (if registered through us), and any artefacts generated during the build. Ownership is effected by transferring the repository, hosting workspace, and database project into accounts you control. We retain no licence to your code or data after delivery.

Until the balance has cleared, the build artefacts remain under our control and may not be redistributed, redeployed, or extracted by you. The locked specification remains your intellectual property at all times.

06 · Acceptable use

You may not request, and we will not build, applications whose primary purpose is illegal activity, harassment, malware distribution, fraud, gambling without licence, surveillance of individuals without consent, child sexual abuse material, or content that violates applicable export controls or sanctions. We reserve the right to decline or terminate any project at our discretion; in such cases your deposit is refunded if the build has not started.

07 · Limitation of liability

Our total aggregate liability arising out of any project is capped at the total amount you have paid for that project. We are not liable for indirect, incidental, or consequential losses, including lost revenue or business opportunity. The build is provided "as is" against the approved specification; we do not warrant fitness for any unstated purpose.

08 · Disputes & governing law

Disputes about payment should first be raised through Stripe's dispute resolution. Disputes about scope should first be raised through the change-request flow. If a dispute cannot be resolved through those mechanisms, these terms are governed by the laws of Georgia, with venue in Tbilisi. You may also be entitled to bring proceedings in your country of residence under local consumer-protection law.

09 · Changes to these terms

We may update these terms. Material changes will be notified by email at least 14 days before they take effect. The terms in force at the time a project is approved continue to govern that project until delivery.
